Thekla Gili-Tos

Thekla practices primarily in business litigation, with a focus on commercial contracts, shareholder disputes, and unfair competition. She advises and represents companies, corporate officers, and shareholders at all stages of disputes, from negotiation and amicable resolution efforts through to litigation.

She has developed extensive expertise in disputes involving commercial agents and their principals, as well as in shareholder conflicts, especially in the context of regulated professions. This enables her to guide and support clients in complex situations that require an in-depth understanding of profession-specific and industry-specific rules. She also handles unfair competition matters, always with a view to safeguarding the business and corporate interests of her clients.

In addition, Thekla has significant experience in European and international matters, which she handles in French, English, and Spanish at full professional proficiency, and regularly coordinates cross-border strategies spanning multiple jurisdictions and legal systems.

Finally, she also advises on restructuring, and assists and represents corporate officers seeking to place their companies into judicial liquidation due to insolvency.

Representative Matters

Litigation

• Advised and defended a physician-shareholder in an action for abuse of majority brought following the early dissolution of the company decided by the majority shareholders, in order to challenge the validity of that decision and to obtain compensation for the damage suffered
• Advised and defended a company accused of unfair competition practices, including client poaching and employee raiding
• Defended a commercial agent following the termination of his agency contract by the principal for alleged serious misconduct
• Assisted and represented a shareholder in litigation against the company’s shareholder-manager, initiating judicial proceedings to appoint an ad hoc representative tasked with convening a general meeting due to the shareholder-manager’s inaction

Shareholder disputes

• Assisted and represented a veterinarian-shareholder in a shareholder dispute, including negotiations with potential buyers, drafting of a letter of intent, a memorandum of understanding, and the transfer agreement, under the applicable regulatory framework for the veterinary profession

Restructuring, insolvency & bankruptcy

• Assisted and represented a corporate officer in the judicial liquidation of his company, from the opening of proceedings through to their closure, including preparation of the initial filing, monitoring of the liquidation process, and support throughout the proceeding
