Marie Frisch

Marie is a specialist corporate lawyer with extensive expertise in mergers and acquisitions. She advises French and international companies and their management on complex M&A and financing transactions (including private equity, fundraising, crowdfunding, and financial structuring) as well as on group reorganizations.

She also has significant experience in corporate governance. In this field, she assists corporate officers, company directors, and shareholders of commercial companies and professional practice companies in designing governance structures tailored to their business models and growth perspectives.

In addition, she regularly advises private clients and family-owned businesses on wealth structuring and transfer, both in France and abroad, always ensuring a climate of trust and confidentiality.

Driven by her strong interest in negotiation and conflict management, Marie trained in mediation and obtained a professional mediator’s diploma from the Lyon Center for Mediation and Arbitration (CIMA). She assists clients in mediation and negotiations relating to M&A and complex agreements.

Marie is a frequent contributor to leading legal journals on corporate law and conducts training sessions for corporate officers, company directors, legal practitioners, chartered accountants, and statutory auditors.

• Advised a group of salaried managers in the acquisition of a textile manufacturing company, including the creation of a joint acquisition vehicle and the preparation and implementation of a shareholders’ agreement
• Advised the shareholders of a company on an OBO (owner buy-out)
• Advised and assisted several family shareholders in the sale of their shareholdings in a family-owned group operating in France and the United States, including a vendor due diligence
• Assisted a UK telecom company with the reorganization of its French subsidiaries (merger, asset transfers, debt restructuring with the French tax authorities and subcontractors)
• Advised France’s leading waste treatment and recycling company in the acquisition of a company operating in the same industry
• Assisted the management of a French company in its acquisition by an Italian investment fund
• Assisted a French corporate group in connection with its transfer to another EU Member State
• Advised a French Caribbean group on the establishment of a franchise network in French Caribbean, including group structuring
• Assisted in the creation of a photovoltaic power plant, including the structuring of the holding company and the creation of dedicated vehicles

Private Equity

• Advised two managers of a transportation company in negotiating and implementing an LBO transaction involving the acquisition of an equity stake by a financial investor
• Advised several companies on fundraising transactions in the fields of medical innovation, new technologies, business services, and human resources
• Assisted with the financial structuring of a company operating in the cryptocurrency industry

Governance

• Advised professional practice companies (medical practices, dental clinics, architecture firms, law firms) on governance arrangements and capital structuring
• Structured the governance of a French buying group of independent distributors and the relationship between its board of directors and member companies
• Advised corporate officers and company directors on group restructuring to optimize their remuneration
• Designed and implemented a shared governance model between management and employees in a company operating in the housing industry
• Structured and facilitated the gradual transfer of ownership of a business from its founder to employees
