Childéric Paillard-Brunet

Childéric focuses his practice on commercial law, business law, and contract law, both as counsel and litigator, as well as on restructuring.

He assists French and foreign companies across all industries, as well as their management, in the negotiation of business contracts, and defends their interests in commercial and industrial disputes, both in pre-litigation matters and litigation proceedings.

Childéric has developed specific expertise in disputes between commercial agents and principals, equity and post-acquisition disputes (enforcement of representations and warranties, disputes arising from share transfers, and irregularities in capital increases and merger transactions, etc.), and shareholder disputes.

He also handles cases relating to unfair competition and abrupt termination of established business relationships.

Litigation

• Defended a commercial agent in a dispute arising from the termination of its agency contract by the principal for alleged serious misconduct
• Assisted an investment fund in proceedings against a biopharmaceutical company for the annulment of a merger transaction
• Advised and defended a leading freight transport group in proceedings arising from the abrupt termination by a major client of their long-standing business relationships
• Defended the seller of company shares in connection with claims brought by the purchaser under the representations and warranties provisions of the share purchase agreement
• Assisted and defended a company in unfair competition proceedings against a former shareholder, including evidence seizure measures and action for compensation for the loss suffered
• Assisted a company shareholder and director in litigation following his wrongful dismissal, seeking compensation for the loss suffered and the buyback of his shares by the company

Commercial Contracts

• Drafted and negotiated an exclusive distribution agreement covering France for a company operating in the plastics industry
• Drafted and negotiated general terms of sale and general terms of service for companies in the transport and IT industries

Restructuring and Insolvency

• Assisted a French bidder in the court-ordered acquisition of a distressed major waste management company
• Represented and defended a company director in disqualification and personal bankruptcy proceedings
• Represented an energy sector company in liquidation proceedings initiated by an institutional creditor.
